FOR BOARDS AND CEOs

Enterprise Value Creation and Management Transformation for Boards and CEOs

Turning Strategy into Execution

VURA Capital Innovation Holdings works alongside boards and executive teams from within the organization, creating enterprise value through the transformation of businesses, organizations, and technology.

From improving the profitability of existing businesses to launching new growth businesses, implementing AI and digital transformation, redesigning organizations, and integrating acquisitions.

Depending on the situation, VURA may participate as CEO, COO, or another executive, translating the board’s strategic direction into tangible business results.

The Barriers to the Next Stage of Growth

The strategy exists. The management capacity to execute it does not.

Many companies possess technologies, customer relationships, people, and brands built over decades.

Yet extending the current business model may no longer be sufficient to create the next stage of growth.

  • The existing business is stable, but the next earnings pillar has not emerged

  • AI and digital initiatives remain isolated projects and have not produced measurable management outcomes

  • New businesses have been launched but remain disconnected from the core organization

  • Changes in global markets and supply chains require a review of the business portfolio

  • The company remains dependent on headcount and billable hours for growth

  • Acquisitions have expanded the group, but effective integration has not followed

  • Leadership has changed, but decision-making and organizational behavior have not

A company does not change simply because its board has approved a new direction.

That direction must be translated into business plans, organizational structures, accountable leaders, investment decisions, KPIs, and sustained action across the organization.

Turning Efficiency into Enterprise Value

Operational efficiency through AI and digital technology is an important foundation for enterprise value creation.

However, reducing costs and working hours alone does not create a sustainable competitive advantage.

The people, time, data, and capital released through efficiency improvements must be redirected toward new customer value and new sources of revenue.

VURA integrates three priorities:

  • Strengthen the existing business: improve profitability, productivity, sales effectiveness, and operational quality

  • Create new growth: connect technologies, customer relationships, and people to new businesses and services

  • Build the execution model: establish clear accountability, authority, organization, investment, and performance measures

We treat efficiency as the beginning of transformation—not its final objective.

Turning Boardroom Direction into Operational Execution

VURA does more than advise boards and CEOs.

After agreeing on objectives and responsibilities with the management team, we work from within the organization to translate plans into action, coordinate across functions, build teams, develop businesses, and manage results.

Situations in which we participate

Redefining the core business and transforming the portfolio

We assess whether the current core business can maintain its competitiveness and examine its technologies, markets, customers, and earnings model.

We identify which businesses to strengthen, transform, build, or reconsider, and translate those choices into specific investment and resource-allocation decisions.

Launching new businesses and companies

We move beyond business concepts and pilot projects to build the revenue model, management structure, organization, talent, services, alliances, sales capabilities, and delivery model.

We use the technologies and customer relationships of the existing business to create a new source of enterprise value.

Enterprise-wide AI and digital transformation

Starting with management objectives, we identify where AI and digital technologies can create the greatest business value.

We integrate business processes, organization, people, data, and systems, supporting the transformation from implementation through adoption and ongoing operation.

Transforming the business model of IT and technology services companies

We help companies expand beyond conventional system development, IT staffing, and time-based revenue models into AI, cloud services, consulting, managed services, proprietary solutions, and other growth areas.

The objective is to build an earnings model that does not depend solely on increasing headcount or utilization rates.

Management and organizational transformation under a new CEO

We translate the new management direction into business plans, organizational structures, decision rights, management forums, and KPIs.

We clarify the roles of the executive team and build the capacity to execute transformation across organizational boundaries.

Group management and post-M&A integration

We assess the businesses, organizations, people, sales capabilities, and technologies of acquired companies and define their roles within the group.

The objective is not limited to operational integration. We combine customer relationships, technologies, and talent to create new value and group-wide growth.

Illustrative Participation Scenarios

Case 1 | A Mid-Market Manufacturer Expanding into Digital Infrastructure

A manufacturer of electrical equipment, electronic systems, or industrial infrastructure possesses long-established technologies and customer relationships, but the future growth potential of its existing product portfolio is becoming limited.

We redefine the company’s role in growth markets such as data centers, energy, communications, and social infrastructure.

Building on the company’s existing technologies and customer base, we develop opportunities in advanced products, services, data utilization, new businesses, and strategic alliances.

We then establish the business plan, execution team, sales model, and KPIs required to turn those opportunities into the company’s next earnings pillar.

Case 2 | A Production Equipment and Factory Automation Company Responding to Global Change

A company supplies production systems to the semiconductor, automotive, EV, or electronic-component industries and operates across Japan, China, the United States, and other markets.

We review its portfolio by region, customer segment, and product category in light of changing capital-investment cycles, supply chains, and technology standards.

Beyond equipment sales, we combine software, data, predictive maintenance, digital twins, and operational services to build recurring customer value and new revenue models.

Case 3 | An IT or IT Staffing Company Redefining Its Business Model for the AI Era

A company has grown through system development, IT operations, infrastructure services, or IT staffing but now faces rapid improvements in AI-enabled development productivity and changing customer expectations.

We reassess the profitability and competitiveness of the existing business and build the next portfolio across AI, cloud services, consulting, managed services, system development, and proprietary solutions.

We connect sales, recruitment, talent development, project assignment, delivery, and performance management to create enterprise value without relying solely on headcount growth.

Case 4 | A B2B Services Group That Has Become More Complex Through Growth and M&A

A company has expanded its revenue, workforce, business portfolio, and group structure, but management processes, sales, delivery, and organizational operations have become increasingly complex.

We clarify the role, customers, profitability, and growth potential of each business and define a coherent direction for the entire group.

We redesign accountability, decision rights, management forums, KPIs, cross-selling, and shared functions, connecting acquisitions and new businesses to group-wide growth.

These scenarios illustrate the types of situations in which VURA may participate. The specific structure and scope of each engagement are designed according to the company’s circumstances, management challenges, and the agreed division of responsibilities with the board and executive team.

Working with the Existing Management Team Through Clearly Defined Roles

VURA does not seek to replace the entire management team.

Before participating, we agree with the board, CEO, executive team, and business leaders on the objectives, areas of responsibility, decision-making authority, and performance measures.

VURA focuses primarily on cross-functional transformation, new businesses, organizational redesign, AI, and digital transformation—areas that can be difficult to execute through the existing organization alone.

We also work with internal business and technology teams, financial institutions, shareholders, professional advisers, and technology partners to translate their respective capabilities into business outcomes.

Management and Execution Grounded in Experience

VURA’s management participation is grounded in experience establishing new companies and businesses, as well as the management and transformation experience developed by its executives and members in their previous organizations and leadership roles.

VURA’s Perspective: Future Value Theory and Enterprise Redefinition

VURA does not evaluate a company solely by its current earnings or existing assets.

Future Value Theory considers what value the company can create, for whom, and how it can grow in the future.

Enterprise Redefinition begins with the company’s existing businesses, technologies, customers, and people, and determines what value the company should create next.

That direction is then reflected in the business model, organization, capital allocation, technology, and day-to-day management decisions.

Turning Knowledge, Experience, and Judgment into Organizational Capability

VURA views company-specific knowledge, experience, and judgment as Brain Capital.

We help identify and share the knowledge accumulated by engineers, sales teams, project leaders, and executives, strengthening the organization’s collective judgment and execution capabilities.

Using AI While Keeping Humans Responsible for Direction

Based on Human-on-the-Loop Management, we design systems in which AI supports analysis and execution while people define objectives, authority, and evaluation criteria and retain oversight and intervention rights.

The board and executive team remain responsible for the company’s purpose, ethical standards, strategic direction, and final decisions.

Our Execution Model: Driving Transformation Alongside Management

Moving Beyond Advice to Take Responsibility for Execution

VURA does more than recommend solutions to management challenges. When appropriate, we participate as a member of the management team and take responsibility for executing the transformation.

The form of participation may include serving as CEO, COO, another functional executive, business leader, transformation leader, or management adviser, depending on the company’s circumstances and challenges.

The scope, duration, level of involvement, decision-making authority, and performance measures are agreed with the board and executive team. Progress and outcomes are then reviewed on an ongoing basis.

Compensation may combine fixed remuneration with an outcome-linked model where appropriate.

Depending on the nature of the engagement, VURA may also consider making an investment alongside its management participation.

Management Transformation Roadmap

Phase 0 | Defining the Management Challenge and Enterprise Value Creation Hypothesis

Through discussions with the board and executive team, we review the current business portfolio, earnings structure, organization, technologies, people, and management processes.

We identify the opportunities and execution barriers associated with enterprise value creation and define the priority areas, required capabilities, and intended outcomes.

Phase 1 | Designing the Management Structure and Execution Plan

We establish the business plan, priority initiatives, accountable leaders, decision rights, investment requirements, and KPIs.

The respective roles of the board, CEO, existing management team, and VURA are clarified, creating the structure required to execute the transformation.

Phase 2 | Executing Priority Initiatives and Embedding Change

We execute the agreed priorities, which may include profitability improvement, sales transformation, organizational redesign, new business creation, AI, and digital transformation.

We continuously monitor progress and outcomes, adjusting the plan to reflect changes in the business environment and realities within the organization.

The timeline and milestones are designed individually based on the company’s challenges, the scope of transformation, and the capabilities of the existing organization.

Phase 3 | Embedding Growth and Creating the Next Stage of Enterprise Value

We embed the results in a business model and management foundation capable of sustaining growth.

The objective is to build an organization that can create new businesses and respond to change without depending on a particular executive or individual contributor.

Boards Should Not Have to Carry Management Transformation Alone

Determining the company’s direction is the responsibility of the board and CEO.

Turning that direction into business, organizational, and technological transformation requires execution capacity within the management structure.

You may be seeking to:

  • Launch a new growth business

  • Translate AI and digital transformation into measurable business outcomes

  • Rebalance the business portfolio

  • Implement a new management direction across the organization

  • Connect post-M&A integration to the company’s next stage of growth

VURA can begin working with you while the opportunity is still being considered or after a specific transformation agenda has already been defined.

During an initial confidential discussion, we examine:

  • The current management challenge and intended enterprise value

  • The strengths of the existing business and its future growth potential

  • Priority business, organizational, and AI initiatives

  • The division of responsibilities between the existing management team and VURA

  • The structure, duration, and performance measures of management participation

  • The priority initiatives and execution steps for the initial stage of participation
